Transactions

At LAMP, we handle complex cross-border transactions with precision, discretion, and deep regional fluency. We help clients navigate every phase of the deal process—from early-stage strategy, due diligence, structuring, financing, and negotiation to execution and post-closing.

Our transactional support spans a wide range of legal and strategic domains, including tax, antitrust, labor, governance, regulatory compliance, anti-corruption (FCPA), licensing, currency controls, and political risk.

We advise across key sectors such as technology, fintech, crypto, energy, infrastructure, consumer goods & retail, financial institutions, healthcare & life sciences, agriculture, commodity trading, manufacturing and transportation, delivering tailored solutions throughout Latin America and select offshore jurisdictions.

We are not a traditional law firm—we are a force multiplier for big international law firms, investors, and international businesses who need high-level execution without the cost or delay of building full regional teams.

HOW WE WORK

It all depends on the size of the deal. Our model is flexible, responsive, and tailored to the context:

Small and Middle-Market Clients

  • When clients come to us with a deal already in motion, we step in to close it efficiently—protecting their interests, aligning with local law, and ensuring favorable terms.

  • When clients seek strategic entry into a country, we help them identify the right private or public partner, navigate political and regulatory barriers, and then structure and close the transaction.

Large-Scale and Sovereign Deals

For multi-million and billion-dollar transactions involving multilateral financial institutions, state-owned companies, investment banks, bank consortia, and sovereign states—in connection with public-private partnerships (PPPs), EPC projects, bond offerings, IPOs, toll roads, renewables, lithium and critical mineral ventures, utility privatizations, ESG-linked instruments, or international arbitration—we are brought in when a key player trusts our judgment.

In these cases, we typically:

  • Team up with white-shoe U.S. and international firms, acting as embedded regional counsel or independent co-counsel—ensuring seamless execution across jurisdictions while the lead firm remains front-facing and retains control of the client relationship.

  • Represent middle-market companies—whether subcontractors, strategic co-investors, or local operators—both upstream and downstream, providing strategic legal support throughout the deal lifecycle and helping them navigate complex institutional dynamics without being sidelined.
